Terms of Service

Effective date: [EFFECTIVE DATE — set when published] · Version 1.0

Before this goes live: bracketed fields (company legal name, registration number, address, governing law, and effective date) must be filled in, and this whole document should be reviewed by a lawyer before being relied on — see the closing note in Section 15.

1. Acceptance of these terms

These Terms of Service ("Terms") are a contract between you — an individual ("Private customer") or a business and the individuals it authorizes to use the account ("Business customer") — and [COMPANY LEGAL NAME], registration number [ORGANISATION NUMBER], registered address [REGISTERED ADDRESS, COUNTRY] ("Vilura", "we", "us"), governing your use of vilura.se and the Jarvis platform (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you're accepting on behalf of a company, you confirm you have authority to bind that company.

2. What the service is

Jarvis is an AI system that carries out tasks through text and voice conversation: answering questions, taking actions through connected tools, building and publishing websites, managing customer relationships, and — where configured — acting as an AI receptionist that can talk or message on your behalf. What's included in each plan (message and voice allowances, features, and price) is described at vilura.se and may be updated from time to time; material reductions to a plan you're actively paying for will be communicated in advance.

3. Accounts

  • You must provide accurate information when registering and keep your password confidential.
  • You're responsible for activity that happens under your account, including actions taken by users you add to a Business account.
  • You must be legally able to enter into a binding contract to use the Service.

4. Plans and payment

  • Paid plans are billed in advance on a recurring basis (monthly, unless stated otherwise) through Stripe.
  • Prices are shown exclusive of applicable tax unless stated otherwise; tax is calculated and added at checkout where required by law [once Stripe Tax is fully configured — see the operational note in Section 15].
  • Usage beyond your plan's included allowance may be billed separately as add-on credits, at the rate shown at the time of purchase.
  • Fees are non-refundable except where required by law or expressly stated otherwise.

5. Cancellation and what happens to your data

You can cancel a paid plan at any time. Here is exactly what happens, factually:

  • Your subscription ends at the close of your current billing period; you won't be charged again.
  • Your account reverts to the free/trial tier — its lower usage limits apply going forward.
  • Nothing is deleted. Your conversations, CRM data, sales records, and any website you've already built and published remain intact and, where applicable, stay live — cancelling a plan is not the same as deleting your account.
  • If you want your data actually erased, that's a separate, deliberate action — see Privacy Policy, Section 12 — available any time, independent of whether you're on a paid plan.

6. Acceptable use

You agree not to use the Service to:

  • Break the law, or the terms of service of a third-party platform you connect (e.g. sending spam through a connected email or messaging account).
  • Attempt to gain unauthorized access to another customer's account or data.
  • Interfere with or disrupt the Service's infrastructure.
  • Use the Service to generate content that is unlawful, fraudulent, or infringes someone else's rights.
  • Reverse-engineer the Service except to the extent applicable law expressly permits it.

We may suspend or terminate access for a clear violation of this section — see Section 13.

7. Your content and data

You own the content you put into the Service — your messages, your CRM data, the websites you build. You grant us the limited right to process it as needed to provide the Service (for example, sending your message to an AI model to generate a reply). For data you enter about your own customers, our processor relationship is governed by the DPA, not this section.

8. AI-generated output — its limits

Jarvis is an AI system and can make mistakes: it can misunderstand a request, generate incorrect or incomplete information, or take an action you didn't intend. You are responsible for reviewing AI-generated output (text, code, website content, business advice, or anything else Jarvis produces) before relying on it, publishing it, or acting on it — particularly for anything with legal, financial, medical, or safety consequences. The Service is a tool, not a substitute for professional advice.

9. Third-party services and connections

The Service relies on third-party providers (see our Privacy Policy for the full, verified list) and lets you optionally connect your own third-party accounts (email, social media, SMS, and similar). We aren't responsible for the availability, content, or practices of those third-party services; your use of a connected account remains subject to that provider's own terms.

10. Intellectual property

Vilura and its licensors own all rights in the Service itself (the software, the Jarvis platform, our branding) — these Terms don't transfer any of that to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. Nothing in this section limits any right you have as a consumer that cannot be excluded under the law of your country of residence.

12. Limitation of liability

To the maximum extent permitted by applicable law: neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from these Terms or the Service. Vilura's total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months before the claim arose. [LAWYER REVIEW — the exact scope, any carve-outs (e.g. for gross negligence, wilful misconduct, or breach of confidentiality/data protection obligations), and enforceability against consumers in specific jurisdictions all need qualified review — this is a starting position, not a finished clause.]

13. Suspension and termination by us

We may suspend or terminate your access if you materially breach these Terms (including Section 6) and don't fix it after we notify you, where practical to give notice — or immediately, without notice, if needed to prevent harm to the Service, other customers, or third parties (for example, active abuse or a security threat). Where we terminate other than for your breach, we'll give you a reasonable opportunity to export your data first.

14. Changes to the service or these terms

We may update these Terms from time to time; we'll update the effective date above and, for material changes, make reasonable efforts to notify active customers before the change takes effect. Continued use after a change takes effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of [GOVERNING LAW — default assumption: Sweden, confirm], without regard to conflict-of-law principles, and any dispute not resolved informally will be brought in the courts of [JURISDICTION — default assumption: Sweden] . [LAWYER REVIEW — a mandatory consumer-protection carve-out is typically required: many jurisdictions (including EU member states and US states) give consumers the right to bring a claim in their own home courts regardless of a governing-law clause, and this needs to be drafted correctly for a service sold to consumers worldwide, not just assumed away.]
